1. Who we are and what these Terms govern

These Terms and Conditions (“Terms”) govern the use of the CBOS studio (studio.clothingbrandowners.com), the website clothingbrandowners.com, the shop shop.clothingbrandowners.com and the related services (together, the “Service”), provided by ClothingBrandOwners (“CBOS”, “we”).

By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.

2. Definitions

Studio: the public CBOS workspace, including the 2D/3D design tools and moodboards. Some actions and features require an account or a paid plan.
Free Plan: access to the Studio without an active paid Subscription, subject to the free limits described below.
Subscription: a monthly paid plan, currently “CBOS Essential Monthly” or “CBOS PRO Monthly”.
Tokens: the credits that measure the use of the Studio's AI features.
Wallet: the Token balance associated with your account; its availability depends on the applicable Subscription and wallet period.
Top-up: the one-time purchase of additional tokens.
Production: the paid on-demand physical garment production service, handled by quote via WhatsApp.

3. Account

3.1 You may access the public Studio workspace and the available free tools without creating an account. To save a project, use AI features or Render HD, link a purchase, or manage paid access, you must create or sign in to a CBOS account with Google or Apple and meet the applicable plan and Token requirements. You must be at least 18 years old.

3.2 The account is personal. You are responsible for the activity carried out with your account and for the security of the devices you use to access it.

3.3 For security reasons, only one active session per account is allowed; sessions have a maximum duration (currently 72 hours), after which a new sign-in is required.

3.4 We may suspend or close accounts in case of violation of these Terms or abusive or fraudulent use of the Service, with notice where possible.

4. The free plan

The Free Plan lets you open the public workspace and try the available 2D/3D editor and moodboard features, subject to technical limits. Current limits include up to 3 total 2D layers and, in 3D, up to 2 decals, 5 gems in 1 gem group and 1 imported model. Free and guest users cannot save, duplicate or import projects into the project library. AI features, including image generation or editing, 3D model generation and Render HD, require an active paid Subscription and sufficient Tokens.

Where project saving is available under a paid plan, projects and creative assets are stored primarily locally on your device. We recommend exporting and keeping copies of important work because local data may be lost if the app or browser data is removed.

5. Essential and PRO monthly Subscriptions

5.1 Subscriptions renew automatically every month until cancelled. On web and on purchase routes that open the CBOS/Shopify checkout, the base catalog prices are €16 per month for Essential and €25 per month for PRO (VAT included where applicable). Shopify may show a market-specific price and charge in your country's presentment currency; the amount and currency shown at checkout before confirmation govern that purchase. Where an iOS purchase through Apple in-app purchase is offered, only PRO is currently available through Apple and the App Store price and currency shown before confirmation apply.

5.2 Both Essential and PRO grant paid editor access, remove the Free Plan editor limits and enable project saving while paid access remains effective. Essential does not include monthly Tokens or an AI Wallet; AI features become available only after an eligible Token Top-up. Each paid PRO cycle includes a managed Wallet with 1,000 base Tokens.

5.3 You can cancel at any time from the billing portal that handled your purchase: Shopify subscriptions are managed from the Shopify customer portal (link available in Account → Billing), while Apple subscriptions are managed from your Apple ID subscriptions or the App Store subscription management screen. Cancellation takes effect at the end of the period already paid: until then you keep paid editor access and may use AI features only while an eligible Wallet and sufficient Tokens remain available. Periods already paid are not refundable, in whole or in part, except where mandatory law or the applicable App Store rules require otherwise.

5.4 We may change available plans, prices, subscription benefits, included features and Token allowances. Changes do not apply retroactively to a period already paid. Price changes or materially adverse plan changes apply from the next renewal or later, after the notice required by applicable law, Shopify or App Store rules; if you do not accept them, you can cancel before they take effect.

6. Tokens and Top-ups

6.1 The 1,000 base Tokens included with PRO reset at each paid renewal: unused base Tokens in the cycle do not accumulate. Essential includes no base Tokens.

6.2 The Shopify base catalog Top-ups are: 500 Tokens for €6.50, 1,000 Tokens for €11.50, 2,500 Tokens for €25 (VAT included where applicable). Shopify may show a market-specific price and presentment currency; the amount and currency shown at checkout govern the purchase. The CBOS checkout offers Top-ups only to accounts with effective Essential or PRO paid access. Top-ups are not sold through Apple in-app purchase in the current iOS version.

6.3 A Top-up does not by itself grant paid editor access, start, extend or reactivate a Subscription. A successfully paid Top-up that is accepted and associated with your account is credited to the current effective Wallet. With effective PRO paid access, the unused Top-up portion carries into later paid cycles only while renewals remain continuous and the preceding wallet period is still effective. If no effective Wallet exists — including for the first Top-up for Essential or for a credit processed without effective paid access — the credit opens a standalone Wallet that is currently valid for 12 months from creation. Without effective paid access, AI spending remains blocked; a still-valid standalone Top-up balance becomes usable only if Essential or PRO paid access returns before that Wallet expires. Tokens in an expired or closed wallet period are lost.

6.4 The Token cost of each AI operation is shown in the app before execution and may vary based on feature, quality and resolution. Tokens are reserved when the operation starts and charged only when it completes; if an operation is cancelled or fails, the reserved Tokens are automatically credited back within about an hour.

6.5 Tokens have no monetary value, are not convertible into money, are not transferable to other accounts and are not refundable.

7. Payments and no refunds

7.1 Subscription and Top-up payments are processed by the payment provider used for the specific purchase route: Shopify and its payment providers for web/Shopify purchases, and Apple for iOS in-app purchases. We do not handle or store card data. Prices, taxes and currencies are shown at checkout or in the App Store purchase sheet before confirmation. Production payments are made as set out in the quote.

7.2 All purchases are final and non-refundable. By purchasing a Subscription or a Top-up you expressly request the immediate supply of the digital service and acknowledge that, once performance has begun, the right of withdrawal provided for consumers is excluded pursuant to Article 59(a) and (o) of the Italian Consumer Code. Refund requests for Apple in-app purchases are handled by Apple under App Store rules. For Production, the garments are made to your specifications and clearly personalized: the right of withdrawal is excluded pursuant to Article 59(c) of the Italian Consumer Code, and the amounts paid for production stages already started are not refundable. The only exceptions are cases where a refund is required by mandatory provisions of law.

8. Physical production

8.1 Production is a quote-based service, handled via WhatsApp. The content published on the site (timelines, minimum quantities, steps) is indicative: each Production order is governed by the written quote shared on WhatsApp or by email before payment, which prevails over these Terms for what it specifies.

8.2 Unless otherwise agreed in the quote: the minimum quantity is 50 pieces per model per color; a paid sample can be ordered first; payment happens in stages (50% for the sample/start, 50% before the production line); sample lead time is about 7 days and production timelines depend on the materials.

8.3 You are responsible for approving the sample and the specifications (techpack, measurements, colors, materials, graphics placement). After sample approval, changes require a new agreement.

8.4 The files, techpacks and physical samples you provide to us or approve remain your property; we do not ask for any exclusivity.

8.5 Consumers benefit from the legal guarantee of conformity (Art. 128 et seq. of the Italian Consumer Code), limited to manufacturing defects compared to the approved sample and the specifications agreed in the quote. Report defects to clothingbrandownersapp@gmail.com within the statutory terms: we will, at our choice and in accordance with the law, repair, replace or reduce the price. The guarantee does not cover discrepancies arising from specifications, files or approvals provided by you, nor the normal artisanal variability of materials.

8.6 Shipments are made to the countries indicated in the quote; costs, timelines, duties and delivery methods are defined in the quote.

9. Intellectual property and content licenses

9.1 Your content remains yours. You retain every right to the designs, images and files you create or upload in the Studio.

9.2 License to us. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, modify and process your content for the sole purpose of providing you the Service (e.g. saving, previews, sending to AI providers for the operations you request, generating renders and techpacks, fulfilling Production orders). The license ends when the content or the account is deleted, except for temporary backup copies and legal obligations.

9.3 AI outputs. To the extent permitted by law and by the terms of the AI providers used, we assign to you every available right to the outputs generated by the AI features from your content and prompts. You are responsible for verifying that the commercial use of the outputs does not infringe third-party rights.

9.4 Content warranties. You warrant that you hold the necessary rights to the content you upload and that it does not infringe third-party rights (including trademarks, copyright and registered designs). It is forbidden to use the Studio or Production to counterfeit third-party trademarks, logos or designs. We may refuse Production orders that we believe infringe third-party rights.

9.5 Our property. The software, the interface, the base 3D models, the materials and the CBOS brand remain our property or that of our licensors. You may not copy, decompile or reuse them outside the Service.

10. Acceptable use

You may not: use the Service for unlawful purposes; upload illegal or defamatory content or content that infringes third-party rights; circumvent technical limits, security systems or Token metering; scrape or access the Service in unauthorized automated ways; resell or share access to your account; interfere with the operation of the Service.

11. Availability and changes to the Service

The Studio is provided “as is”. We do our best to ensure its continuity, but we do not guarantee it will be free of interruptions or errors; we may suspend it temporarily for maintenance. We may evolve or change features of the Service; if a change substantially reduces the features included in the Subscription, you may cancel with effect from the end of the paid period.

Device performance, heat and battery: the Studio includes real-time 3D, WebGL and other graphics- or compute-intensive features. Intensive or prolonged use may increase CPU/GPU load, device temperature and battery consumption, and may trigger operating-system or manufacturer protections such as reduced frame rate, slower processing, display dimming, paused or slowed charging, app reloads or shutdowns. Use the Studio only on compatible devices, browsers and operating systems; avoid direct sunlight, hot environments, enclosed or poorly ventilated places, non-approved chargers or accessories, and intensive use while charging when the device is already warm. If your device becomes hot or shows a temperature, battery or performance warning, stop using the Studio and let the device cool before continuing.

Backing up your work: since projects are stored primarily on your device, we cannot recover lost local projects (e.g. clearing browser data). Export important work regularly.

12. Liability

Nothing in these Terms excludes or limits liability in cases where the law does not allow it (willful misconduct, gross negligence, personal injury, mandatory consumer rights). Subject to the above, our total liability arising from the Service is limited to the amount you paid to CBOS in the 12 months preceding the event; we are not liable for loss of profit, locally stored data or indirect damages.

To the fullest extent permitted by law, CBOS is not responsible for ordinary heating, battery drain, performance throttling, temporary interruptions, battery wear, hardware wear or device damage arising from intensive or prolonged use of the Studio, use on unsupported or unsuitable devices, unsafe environmental conditions, incompatible accessories, or failure to follow manufacturer, operating-system or app warnings. You are responsible for monitoring your device and using the Studio within the operating limits recommended by the device manufacturer.

13. Account closure

13.1 You can stop using the Service at any time and request the deletion of your account by writing to clothingbrandownersapp@gmail.com (see also the Privacy Policy for the effects on your data). Deleting the account results in the loss of the remaining Tokens.

13.2 In case of serious violation of these Terms we may suspend or close the account; in that case the remaining Tokens are lost and the amounts paid are not refunded.

14. Changes to the Terms

We may change these Terms. Substantial changes will be communicated at least 30 days in advance through the site or by email; if you do not accept them, you can cancel before they take effect. Using the Service after the changes take effect constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by Italian law. Any dispute falls under the jurisdiction of the courts of the place where CBOS has its registered office, except as mandatorily provided by law.
